These Terms of Use ("Terms") govern your access to and use of MarginHero, including our website, assessments, reports, digital downloads, templates, training, emails, custom materials, and related services. MarginHero is operated by MarginHero ("MarginHero," "we," "us," or "our").

By accessing or using MarginHero, you agree to these Terms. If you do not agree, do not use the website, products, or services.

1. What MarginHero Provides

MarginHero provides educational materials, checklists, templates, assessments, training, and related resources for retail margin recovery, transaction integrity, loss prevention, employee training, incident documentation, and operational controls.

MarginHero materials are intended to help business owners and managers think through operational risks and improve internal procedures. They are not a substitute for professional legal, financial, accounting, human resources, insurance, security, workplace safety, or law enforcement advice.

2. Eligibility

You must be at least 18 years old and able to enter into a binding agreement to use MarginHero. If you use MarginHero on behalf of a business, you represent that you have authority to bind that business to these Terms.

3. Accounts, Purchases, And Access

Some products or training may require purchase, account creation, or access through a third-party platform. You are responsible for keeping login credentials secure and for all activity under your account.

We may suspend or terminate access if we believe you have violated these Terms, misused the materials, failed to pay, shared access improperly, or created security or legal risk.

4. License To Use Digital Products

Unless a product page states otherwise, purchases give you a limited, non-exclusive, non-transferable license to use the purchased materials for your own business's internal operations and training.

You may:

  • Download and use the materials for internal business purposes
  • Adapt templates for your own business policies and procedures
  • Share relevant materials with your employees or contractors for internal training or implementation

You may not:

  • Resell, redistribute, sublicense, publish, or commercially exploit the materials
  • Upload the materials into public template libraries, marketplaces, or file-sharing sites
  • Remove copyright, trademark, attribution, or proprietary notices
  • Claim the materials as your own product
  • Use the materials to build a competing product, course, toolkit, or template library
  • Share paid course access or download links outside your business

5. Custom Materials

If MarginHero creates custom materials for you, those materials may incorporate MarginHero's pre-existing templates, frameworks, training language, checklists, and other intellectual property. Unless we agree otherwise in writing, you receive a license to use the custom materials internally for your business, and MarginHero retains ownership of its underlying tools, templates, systems, and know-how.

6. User Content

You may provide information through assessments, forms, emails, support requests, uploads, or custom service workflows ("User Content"). You retain ownership of your User Content, but you grant MarginHero a license to use it as needed to provide services, generate reports, create custom materials, deliver support, improve products, and operate our business.

You represent that you have the right to provide the User Content and that it does not violate law, confidentiality obligations, employment obligations, privacy rights, or third-party rights.

Do not submit sensitive information unless it is necessary, including social security numbers, payment card numbers, medical information, government IDs, criminal history details, confidential employee files, or information you are not authorized to share.

7. AI-Assisted Features

MarginHero may use AI-assisted tools to help generate drafts, summaries, reports, recommendations, emails, training content, or internal support materials. AI outputs may be incomplete, inaccurate, or unsuitable for your circumstances.

You are responsible for reviewing all AI-assisted outputs before relying on them, sharing them, implementing them, or using them with employees, customers, vendors, insurers, law enforcement, or regulators.

MarginHero does not use AI to make legally binding decisions about your employees, customers, vendors, or business.

8. No Professional Advice

MarginHero does not provide legal, financial, accounting, tax, human resources, insurance, workplace safety, private security, or law enforcement advice. You should consult qualified professionals before implementing policies, responding to suspected theft, disciplining employees, changing workplace rules, contacting law enforcement, or making decisions that may affect legal rights or employment status.

9. Safety And Compliance

You are responsible for complying with all laws, regulations, employment obligations, workplace safety requirements, privacy obligations, union or collective bargaining obligations, lease terms, insurance requirements, and platform rules that apply to your business.

You are also responsible for ensuring that any loss prevention practices are lawful, non-discriminatory, safe, and appropriate for your location and industry.

10. Payments, Taxes, And Refunds

Prices, payment terms, and refund rules are stated on the applicable product page or in our Refund Policy. You are responsible for applicable taxes unless otherwise stated.

Digital products may be delivered immediately after purchase, which may limit refund availability.

11. Intellectual Property

MarginHero owns or licenses the website, brand, designs, text, templates, checklists, training materials, assessment frameworks, product structure, graphics, downloads, reports, and related content, except for User Content and third-party materials.

No rights are granted except as expressly stated in these Terms.

12. Prohibited Uses

You may not:

  • Use MarginHero for illegal, deceptive, discriminatory, harassing, or unsafe purposes
  • Use the materials to conduct unlawful surveillance, retaliation, intimidation, profiling, or discrimination
  • Submit information you are not authorized to share
  • Interfere with the website, checkout, training platform, file delivery, or security systems
  • Reverse engineer, scrape, copy, resell, or misuse MarginHero content
  • Misrepresent your relationship with MarginHero
  • Use MarginHero materials in a way that violates employee, customer, vendor, or third-party rights

13. Third-Party Services

MarginHero may rely on third-party platforms for assessments, checkout, file delivery, training, email, analytics, hosting, automation, and AI-assisted workflows. Third-party services are governed by their own terms and policies.

We are not responsible for third-party platform outages, errors, data practices, fees, or service changes.

14. Disclaimers

MarginHero is provided "as is" and "as available." We do not promise that the website, products, training, assessments, recommendations, or AI-assisted outputs will be error-free, uninterrupted, complete, legally compliant for your situation, or guaranteed to reduce loss, prevent theft, increase profit, improve employee conduct, or produce any specific business result.

15. Limitation Of Liability

To the fullest extent permitted by law, MarginHero and MarginHero will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, reputational harm, employment claims, security incidents, or losses arising from your use of or reliance on MarginHero.

To the fullest extent permitted by law, our total liability for any claim relating to MarginHero will not exceed the amount you paid to MarginHero for the product or service giving rise to the claim during the three months before the claim arose.

Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.

16. Indemnification

You agree to defend, indemnify, and hold harmless MarginHero, MarginHero, and their owners, employees, contractors, service providers, and affiliates from claims, damages, liabilities, losses, costs, and expenses arising from your use of MarginHero, your User Content, your violation of these Terms, your implementation of materials, or your violation of law or third-party rights.

17. Termination

We may suspend or terminate access to MarginHero at any time if we believe you violated these Terms, created risk, failed to pay, misused the materials, or acted in a way that may harm MarginHero or others.

Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, dispute terms, and payment obligations.

18. Governing Law

These Terms are governed by the laws of the state where MarginHero is formed, without regard to conflict of law rules.

19. Changes

We may update these Terms from time to time. Updated Terms will be posted with a new effective date. Continued use of MarginHero after changes are posted means you accept the updated Terms.
